I. General Provisions
EM-Smart US Official (“EM-Smart” or “we”) offers eligible individual customers the opportunity to participate in the “Referral Partner Program” (the “Program”) to earn referral rewards. This program is currently only available in the United States and Europe. By participating in the program through referrals or other means, you acknowledge that you have read, understood, and agreed to comply with these terms and conditions. The Program is also governed by EM-Smart’s Terms of Service, Privacy Policy, FAQs, and other applicable supplemental terms, all of which are incorporated into this Agreement by reference. EM-Smart reserves the right to modify, revise, or terminate these terms at any time without prior notice. You should regularly review this page. EM-Smart reserves the final right of interpretation of these terms.
II. Time Period of the Program
The program runs from July 8, 2025, to July 31, 2025. EM-Smart reserves the right to extend or terminate the program at its sole discretion or launch new referral initiatives. Only eligible purchases completed within the Program Period will qualify for rewards.
III. Definitions
1. Referrer: A user who has registered an account on the EM-Smart official website and can generate a personal referral link.
2. Referee: A friend, family member, colleague, or other person with a genuine social relationship to the referrer (must be 18 years or older and a legal resident of the United States) who has never placed an order on the official website and who registers and makes a purchase for the first time via the referral link.
3. Referral Link: A unique HTTPS link provided by EM-Smart and bound to the referrer’s account, used to track the origin of referrals.
4. Connection: The binding relationship established when a referee registers through a referral link. Each referee may be linked to only one referrer, and this relationship cannot be changed during the program period.
5. Referral Reward: Cash rewards and exclusive privileges are awarded to the referrer by EM-Smart after validating the referee's successful purchase, based on the reward tier system.
IV. How to Participate
Ø Eligible Referrer
Only individual users residing in the United States who are logged into EM-Smart are eligible to participate.
Ø Make a Referral
1.The Referrer logs into the official website to generate and obtain their unique referral link;
2. The referrer shares the link via email, SMS, or social media;
3. A referee registers and places their first order using the referral link, and this counts as a valid referral.
V. Rewards
Upon a valid referral resulting in a referee’s first purchase, the Referrer will earn rewards according to the total number of referred devices:
- 1 to 3 Machines Referred: $250 per order. Referrer gains access to a dedicated tech support group with customer service, technical, and marketing support.
- 4 to 10 Machines Referred: $300 per order. Referrer receives priority technical support, a dedicated business contact, fast-response support, and becomes an official EM-Smart Brand Ambassador.
- 11 to 20 Machines Referred: $350 per order. Referrer is invited to attend EM-Smart’s Annual Tech Summit, tour the manufacturing facility in China, meet the company’s General Manager, and receives “EM-Smart Regional Spokesperson” certification.
- 21+ Machines Referred: $450 per order. Referrer is eligible to apply for EM-Smart Regional Distributor status and enjoy priority invitations to international exhibitions, custom product collaboration opportunities, and profit-sharing incentives.
VI. Reward Distribution
1.Rewards will be issued 30 days after the Referee confirms receipt of their order and 7 days after the device has been activated, whichever is later.
2.In accordance with IRS regulations, if your total rewards amount to more than $600, you will be required to provide a completed Form 1099 for tax reporting.
VII. Technical and Promotional Support
Participants will receive the following resources:
1.Referral Toolkit, including: demo video (5-minute highlights); technical comparison sheet; user success stories collection; use-case guides (e.g., side business, freelance operation).
2.Promotion Strategy Guidelines (for social media, communities, coupon usage);
3.Standard Messaging Templates. It is prohibited to promise “permanent agency” or “100% chance to win.”
VIII. Regional Distributor Qualification Statement
1.Regional Distributor status does not constitute an employment or franchise relationship;
2.No exclusive distribution rights or minimum sales quotas apply.
IX. User Privacy and Data Statement
1.Referrers will be prompted to give explicit consent upon registration (compliant with GDPR/CCPA);
2.Data collected includes IP address and order number, solely for reward distribution and leaderboard display;
3.Leaderboards are anonymized (e.g., “Referrer-XX123”);
4.All data will be automatically deleted within 90 days after the Program ends;
5.Users may email sales@em-smart.com to request data deletion or opt out of the Program at any time.
X. Promotional Content Compliance Requirements
1.All promotional materials must be clearly marked with #ad or #promotion;
2.Use of superlative claims such as “best” or “only” is prohibited unless accompanied by a disclaimer like “results may vary by individual”;
3.Falsifying brand identity or fabricating earnings data is strictly forbidden.
XI. Special Terms
1.Promotional content must disclose #ad;
2.Users may register via email to enter sweepstakes;
3.All participants are deemed to have voluntarily accepted the use of cookies.
4.No guarantees of authorization or earnings may be made;
*Jurisdiction: California courts.
XII. Disclaimer
1.All promotional content reflects personal opinions of the Referrer. EM-Smart is not responsible for any disputes arising from referrals;
2.Participants in factory tours are responsible for their own visas, travel, and insurance. The organizer is not liable for safety;
3.EM-Smart reserves the right of final interpretation and amendment of Program details.
XIII. Terms Updates and Opt-Out Mechanism
1.These Terms are subject to dynamic updates. The last update date will be displayed at the bottom of the page, along with links to historical versions;
2.Users may opt out of the Program at any time via the referral dashboard and request full data deletion.
XIV. Terminate
Participants found engaging in fraudulent order practices will be immediately disqualified from participation.
What constitutes fraudulent ordering behavior?
1.Placing three or more orders within 30 days using the same shipping address, IP address, or payment account;
2.Failing to activate the device within 7 days after delivery;
3.Submitting orders with abnormal payment amounts (e.g., orders made solely to meet the minimum discount threshold).
If any of the above behaviors are detected, the participant will not only be disqualified but may also be subject to further penalties, including:
1.Forfeiture of all related rewards in accordance with UCC§1309;
2.Recovery of any rewards already issued;
3.Submission of fraud evidence to the FTC pursuant to 18 U.S.C.§1343.
All disputes shall be resolved through arbitration in the State of Delaware.
